About DB Legal
Founded in 2022
A focused corporate and commercial law firm advising businesses, investors and founders on Indian law
DB Legal Consultants was founded in July 2022 by Sourav De Biswas. The Firm provides corporate and commercial legal services to Indian and international clients across transactions, investments, business establishment, commercial contracting, governance and day-to-day corporate matters.
The Firm's work ranges from complex M&A, private equity and joint venture transactions to the legal requirements that arise in establishing and operating a business in India. These include company formation, foreign investment, shareholder arrangements, commercial contracts, employment documentation, corporate policies, data protection and ongoing company law advice.
Our practice
DB Legal's principal areas of work are corporate and commercial law, India entry, foreign direct investment, mergers and acquisitions, business and asset transfers, joint ventures, private equity and venture capital, commercial contracts, corporate governance and company law.
The Firm also advises on connected employment, data-protection, technology, e-commerce and sector-specific commercial issues where these form part of a transaction, an investment or the ongoing operation of a business.
Our clients
The Firm advises Indian and overseas companies, corporate groups, founders, promoters, shareholders, private investors, management teams and family-owned businesses. It also works with foreign law firms and other professional advisers that require Indian corporate counsel for a cross-border matter or for a client entering or operating in India.
How we work
Senior involvement: The Firm's structure enables senior lawyer to remain closely involved in the substance and progress of matters.
Commercial context: Legal analysis is framed in the context of the client's proposed transaction, operating model, risk allocation and decision-making requirements.
End-to-end support: The Firm assists from preliminary structuring and issue identification through documentation, negotiation, signing, closing and post-closing implementation.
Coordination: Where a matter involves tax, finance, secretarial, regulatory or foreign-law inputs, the Firm coordinates with the client's existing advisers or with appropriate external specialists.
Continuity: The same team can support a business beyond a discrete transaction, including its contracts, governance, employment arrangements and recurring corporate matters.
International work
DB Legal regularly considers the interface between Indian law and the commercial expectations of international clients. The Firm assists overseas businesses with the practical legal steps required to enter India, invest, contract with an Indian counterparty, establish a subsidiary, appoint personnel, acquire or form a joint venture with an Indian business, and maintain an Indian operation.
The Firm also supports Indian businesses on outbound investments and acquisitions by handling the Indian corporate, foreign exchange and transaction workstreams and coordinating with counsel in the relevant overseas jurisdiction.
Industry experience
The Firm's lawyers have advised across manufacturing, industrial and engineering businesses; technology and IT-enabled services; e-commerce and consumer businesses; hospitality and food and beverages; healthcare and pharmaceuticals; telecommunications; media and entertainment; retail; and logistics.
