Domestic and Cross-border M&A

  • Advised Indian companies on overseas acquisitions, including the acquisition of businesses in the United Kingdom, Singapore, US, Denmark, and advised foreign and Indian businesses on acquisitions, investments and disposals involving Indian companies.​

  • Advised on transactions across the technology, software services, manufacturing, steel, pharmaceuticals, healthcare, media and entertainment, hospitality, logistics and infrastructure sectors. These included share acquisitions, business transfers, asset purchases, strategic investments and promoter stake sales.

 

  • Managed the complete transaction process, including structuring, legal due diligence, term sheets, transaction documents, conditions precedent, regulatory approvals, closing and post-closing matters. Experience also includes joint ventures, court-approved mergers and demergers, group reorganisations and listed-company transactions.

India Entry and Foreign Investment

  • Advised international businesses on India entry strategies, including the selection of an appropriate legal entity and the establishment of wholly owned subsidiaries, limited liability partnerships, joint ventures, branch offices and project offices.

 

  • Advised on foreign direct investment under FEMA and India’s FDI policy, including sectoral restrictions, entry routes, investment instruments, pricing requirements, beneficial ownership considerations, Press Note 3 approvals and applicable filings and reporting.

 

  • Assisted foreign-owned businesses with company formation, shareholder and governance arrangements, regulatory registrations and the commercial agreements required to commence operations in India. Sector-specific advice has included e-commerce, healthcare, pharmaceuticals, technology, manufacturing and algorithmic trading businesses.

Private Investment and Founder Transactions

  • Advised companies, investors and founders on private equity, venture capital, angel and strategic investment transactions across sectors including fintech, technology, digital media, manufacturing, healthcare and consumer businesses.

 

  • Advised on primary investments, secondary share transfers, convertible instruments, promoter rollovers and multi-stage investment transactions. Work has included term sheets, legal due diligence, subscription agreements, shareholders’ agreements and ancillary closing documents.

 

  • Advised founders and promoters on governance rights, reserved matters, board representation, management control, anti-dilution protection, transfer restrictions and exit rights. Experience also includes founder exits, promoter settlements, management equity arrangements and employee stock option plans.

Commercial Contracts

  • Drafted and negotiated technology and software agreements, including software development, application development, licensing, implementation, maintenance, managed services, intellectual property, source-code escrow and technology procurement agreements.

 

  • Advised on supply, procurement, manufacturing, distribution, dealership and services arrangements, including contracts for industrial products, telecommunications equipment, electric vehicles and consumer-facing businesses.

  • Drafted hospitality franchise, hotel management, brand licence, food and beverage, construction and refurbishment agreements, as well as outsourcing, call-centre, telecom services, revenue-sharing, leasing and other operational contracts. Support has included contract standardisation and high-volume contract management.

Corporate Advisory

  • Advised Indian companies, foreign-owned subsidiaries, boards and promoters on company law, corporate governance, directors’ duties, shareholder rights, board and shareholder meetings, related-party transactions, capital changes and statutory compliance.​

 

  • Advised on corporate reorganisations, mergers, demergers, share transfers, capital restructuring, business transfers and the implementation of intra-group arrangements involving listed and unlisted companies.​

 

  • Provided ongoing legal advice on FEMA, securities regulations, employment matters, data privacy, electronic contracting, artificial intelligence and intellectual property risks, internal policies, regulatory investigations and day-to-day business operations.
